1. Agreement to Terms

By accessing or using the services provided by Employgic LLC, a Georgia limited liability company doing business as EmployMagic ("Company," "we," "us," or "our"), you agree to be bound by these Terms and Conditions. If you do not agree, do not use our services.

2. Services

EmployMagic provides offshore staffing and process automation services. We connect businesses with vetted professionals located primarily in the Philippines and Latin America. Our services include talent placement, team management, and process engineering consulting.

3. Engagement Terms

All engagements are governed by a separate Client Service Agreement and Resource Engagement Order executed between the parties. These Terms & Conditions supplement but do not supersede the terms of any executed agreement.

4. Billing and Payment

Services are billed biweekly or monthly as specified in your engagement agreement. Payment is due within 15 days of invoice date. Late payments may incur interest at 1.5% per month or the maximum rate permitted by law. All fees are stated in U.S. dollars.

5. Cancellation

Either party may terminate an engagement with 30 days' written notice. There are no long-term contracts or early termination fees unless otherwise specified in your engagement agreement.

6. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the engagement. This obligation survives termination of the relationship.

7. Non-Solicitation

During the term of engagement and for 12 months following termination, the client agrees not to directly hire, solicit, or engage any professional placed by EmployMagic without prior written consent.

8. Limitation of Liability

To the maximum extent permitted by law, EmployMagic's total liability arising from any claim related to our services shall not exceed the fees paid by the client in the three months preceding the claim. We are not liable for indirect, incidental, special, or consequential damages.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Georgia.
